The name of this Club shall be "The Gloucester Soccer Association Inc. and shall be referred to as the GSA, as incorporated in 1988. ARTICLE 2 : AIMS AND OBJECTIVES The objective of the Club shall be to promote, develop and provide the game of soccer within the boundaries of the former City of Gloucester. The aim of the Club is to ensure that all players have the opportunity to play at a level commensurate with their ability. ARTICLE 3 : ORGANIZATION The GSA shall consist of an executive committee named the Gloucester Soccer Association Executive Committee and of three units namely: a) The Gloucester Hornets Senior Recreational b) The Gloucester Hornets Competitive c) The Gloucester Dragons Recreational Soccer ii. The three units named in 3.i a), b), and c) shall form their own committees to administer the business and to deliver the operational affairs of the unit. The composition and duties of the committees shall be defined in the unit by-laws. iii. Each unit will hold an Annual General Meeting (AGM) at which members will elect the applicable committee members. These AGMs must be held annually. Each unit is responsible for its own financial liabilities as approved by the GSA Executive No unit committee can secede from the Club during the soccer season and without the appropriate constitutional amendment. The GSA shall be a member of the Eastern Ontario District Soccer Association (EODSA) and shall follow the published rules of the District Association and The Ontario Soccer Association, hereinafter referred to as the OSA. The Club is subject to the published rules in declining order of authority of the following governing organisations with which it is affiliated: The OSA The EODSA The Club ARTICLE 4 : MEMBERSHIP i Membership in the GSA is as defined in the By-Laws of the three units named in Article 3.i. Those entitled to vote at a unit AGM are entitled to vote at GSA Annual and Special General Meetings. Membership in the units mentioned in 3.i a), b), and c) will be defined as all parents or legal guardians of any playing GSA member who is not of legal age, volunteers of the GSA or any registered member who is 18 years of age or older. A member may be fined, censured, suspended, or expelled from membership for cause only after charges have been laid in accordance with the Clubs published rules and a hearing held in accordance with the published rules of the Club and OSA. An individual whose membership has been suspended loses all rights of membership until the suspension has been terminated. Player, team, and team official discipline for game infractions is governed in accordance with the procedures published by the OSA. Any member who infringes the Articles or rules of the Club or brings the Club into disrepute, may be reprimanded, suspended or expelled from the club after a hearing by the Board of Directors of the Club at which hearing the member is entitled to attend. Membership fees shall be set annually by the units identified in Article 3 i Membership in the Club shall be deemed to have been terminated if the member submits a letter of resignation to the Club, is expelled from the Club, or is no longer registered with the Club. ARTICLE 5 : EXECUTIVE COMMITTEE The Club shall be governed by a Board of Directors known as the GSA Executive Committee and shall consist of the following: a) Chairperson of the Gloucester Hornets Seniors Recreational Committee; b) Chairperson and one (1) other appointed from the Gloucester Hornets Competitive Committee; c) Chairperson and two (2) others appointed from the Gloucester Dragons Recreational Committee; d) President. ii. A Director shall be 18 years of age or older, shall not be an undischarged bankrupt, and shall be a regular member of the Club. A Director shall serve for a term of one year or until his or her successor is elected or appointed. A Director has the right to resign his or her position by submitting a signed letter of resignation to the Board of Directors. iii. The GSA Executive Committee will select and, by majority decision, elect a person to act as President for a term of one year, or until such time as they are replaced. The President will vote only in cases were the vote is tied. All other members will be full voting members. iv. The GSA Executive will select from the Board of Directors and, by majority decision, elect, for a term of one year, a Vice-President, Secretary, and Treasurer. v. The Chair of each unit may name a replacement for themselves, or any of the units representatives, for a specific meeting, but each member attending will have only one vote. vi. The incoming Board of Directors will assume their positions at the election of Officers and Directors at the Annual General Meeting. vii. No member of the Board of Directors shall be removed for arbitrary reasons but may be removed if: the Director is unable to perform the duties expected of the position due to, but not limited to, any of the following reasons: if he/she becomes incapable of performing the business of the Club; if he/she is absent from two or more meetings of the Board without satisfactory reason; if he/she no longer resides in reasonable proximity to the Club; if he/she becomes, or is discovered to be, an undischarged bankrupt; or the Director has compromised the integrity of the Club due to, but not limited to, any of the following reasons: if he/she has been found guilty of an offence under the Harassment Policy of the OSA; if he/she has been found guilty of an offence involving violence under the Discipline Policy of the OSA; if he/she has failed to properly account for monies or property belonging to the Club; if he/she has been found guilty of a criminal offence regardless of whether or not the offence directly affected the Club. viii A member of the Board of Directors may be removed from office by the Board of Directors for good and sufficient cause by a 2/3 vote of the Board of Directors present, provided notice to remove the Director has been given to all Directors. ix The Directors shall be subject to the Conflict of Interest Policy in the OSAs published rules. ARTICLE 6 : AMENDMENTS TO THE GSA CONSTITUTION i. The Constitution of the GSA shall not be amended except at an Annual General Meeting (AGM) or Special General Meeting, (SGM) convened specifically for that purpose. Notice of the proposed amendment shall be handed to the President in writing at least 30 days prior to the date of the meeting and shall be available to any interested party at least 15 days prior to the date of said meeting. ii. All proposed amendments to the Constitution shall require a 2/3 majority of those present and voting at the AGM or SGM, subject to the rules of quorum as defined in Article 8 of this Constitution. Sub-amendments to such amendments may be made and voted upon at the SGM provided that such sub-amendments shall not alter the original intent of the proposed motion. ARTICLE 7 : BY-LAWS AND REGULATIONS i. Each of the units named in 3.i. shall prepare By-laws not inconsistent with this Constitution governing the conduct of meetings, financial reporting, voting, elections, composition and duties of the Unit Committee, conditions for membership, conduct and discipline, and any other matters which properly fall within the units jurisdiction Unit By-Law amendments require consideration by the GSA Executive Committee as part of the process of developing any proposals and prior to presentation of the By-Law amendments for approval at the respective unit AGM. iii Each of the unit committees of the GSA may, at its regular meetings, by a 2/3 majority of those present and voting, amend or establish its own By-Laws. These changes must be submitted for approval to the next unit general meeting iv. Each of the units named in Article 3.i shall ensure that a copy of the unit By-Laws, rules and regulations are provided to the GSA Executive Committee, including the provision of any amended versions following approval at the respective unit AGM It will be the responsibility of the Executive Committee to ensure there is no conflict between unit By-Laws, rules, and regulations or with the GSA Constitution. v. In addition, each unit will make available to the GSA executive, financial records, copies of minutes and membership lists. ARTICLE 8 : MEETINGS An Annual General Meeting shall be held prior to December 31 of each year and Special General Meetings of the GSA shall be held when it is determined necessary under ARTICLE 8.iv), or at the instigation of the GSA Executive Committee. The agenda of the Annual General meeting shall include: Roll Call Credentials Report Minutes of Previous Annual General Meeting Presidents address Officers addresses Treasurers report Auditors report Appointment of Auditors Other Reports Unfinished Business -see a) Election of Officers and Directors Other Business Adjournment iii Notice of the date of the AGM or SGM shall be made at least 30 days prior to the proposed date. Distribution of such notice shall be made by the most effective means available to reach the greatest number of members, using such media as newspapers, area recreation newsletters, etc. iv The President of the GSA shall call a Special General Meeting of the GSA within 30 days of receipt of a request made in writing to the GSA Executive Committee by at least 50 members. The request must clearly indicate the reason for requesting that a Special General Meeting be called. v Meetings of the GSA Executive Committee shall be at the call of the President vi Notice of GSA Executive Committee meetings shall be given to all members as appropriate at least seven days prior to such meetings. Emergency meetings of the Executive Committee may be called without the usual seven days notice provided that a quorum of the Executive Committee agrees to such a meeting. vii The quorum for GSA AGMs and GSA SGMs, GSA Executive Committee meetings shall include at least 50% plus (1) of elected members of the Executive. In addition, at a GSA AGM or GSA SGM, a quorum shall exist only when the number of non-executive members in attendance exceeds the number of Executive members present, by one(1) or more. viii. General meetings shall be open to the public. Voting will be restricted to those physically present, and who are members of the GSA as defined in ARTICLE 4. Each member is entitled to one vote. ix Voting entitlement at unit AGMs shall only be open to members of the respective units x The Board of Directors shall meet at least 4 times per year, upon 14 days notice given by the President and Secretary, at such time and place as the Board of Directors may determine. A majority of the Members of the Board of Directors shall form a quorum at all meetings of the Board. Questions arising at any meeting shall be decided by a majority vote where each Director is entitled to cast one vote. ARTICLE 9 : OTHER REGULATIONS i. ROLES AND RESPONSIBILITIES OF THE GSA EXECUTIVE The GSA Executive Committee shall be responsible for: a) Acting as an arbitrator in situations of disagreement affecting two or more of the GSA units, b) Convening the GSA AGMs and SGMs and ensuring the necessary Constitution amendments are placed before the membership, c) Acting as a co-ordinator for major capital expenditure projects, d) Collating field requirements and ensuring a fair and equitable distribution of these resources, e) Representing the GSA to the public and ensuring representation at EODSA meetings. ii. RESPONSIBILITIES OF THE PRESIDENT The following are the responsibilities of the GSA President, to: a) Act as GSA representative at public meetings, EODSA AGMs, and generally act as the public voice of GSA, b) Convene GSA Executive meetings and GSA General meetings, c) Attend all unitSpecial General Meetings. iii. RESPONSIBILITIES OF EXECUTIVE MEMBERS The Executive members are responsible for representing the group that appointed them to the Executive and for carrying out any other duties assigned them. iv PROCEDURES GOVERNING MEETINGS All meetings of the Club shall be conducted in accordance with the most recently published Roberts Rules of Order Newly Revised. v FINANCE The financial books of the GSA shall be audited" on an annual basis. The final statements shall be presented to the Annual General Meeting for adoption. At the Annual General Meeting of the Club, a chartered accountant firm shall be appointed to perform the audit. The fiscal year of the Club shall end on October 31 of each year, unless otherwise ordered by the Board of Directors. vi INDEMNITY Members of the Board of Directors of the Club or their servants, their heirs, executors, administrators and estate and effects respectively shall be indemnified and saved harmless at all times by the Club against all costs, losses and expenses incurred by them respectively in or about the discharge of their respective duties, except such as happens from their own respective wilful neglect or default. vii DISPUTE RESOLUTION The Club shall adhere to the Dispute Resolution Process by communicating in writing to the OSA from time to time. Any member of the Club may initiate the Dispute Resolution Process by communicating in writing to the OSA, with a copy to the Club and District Association, the nature and facts of the dispute. The OSA, at its discretion, may proceed with the Dispute Resolution Process by assigning one or more neutral persons to the dispute. The Dispute Resolution Process shall not be used for game discipline which follows the normal discipline and appeals process. The Club shall make available to any member the Dispute Resolution Process when requested. viii HARASSMENT The Club shall adhere to the Harassment Policy as published and approved by the OSA from time to time. The Harassment Policy shall apply to all employees, directors, officers, volunteers, coaches, game officials, administrators, players, member, and registrants of the Club. Harassment is defined as any comment, conduct, or gesture directed toward an individual or group of individuals which is insulting, intimidating, humiliating, malicious, degrading or offensive. It includes, but is not limited to, sexual harassment. ix APPEALS Any member or registrant of the Club directly affected by a decision of the Club may appeal such decision. A non-member may appeal the denial or termination of membership in the club. A decision of the Club may be appealed to the District Association. The appeal shall be conducted in accordance with the published rules of the OSA and District Association. An individual may not appeal a decision made by the Board of Directors regarding the appointment, non-appointment, re-appointment or revocation of an appointment of an individual to any coach or administrator position within the Clubs operations, except where the selection, appointment and revocation process outlined in the Clubs published rules has not been followed. An individual shall not appeal a decision made by the Club regarding a players team assignment. x DISSOLUTION In the event of dissolution of the Club, and after payment of all debts and liabilities, its remaining property shall be distributed or disposed of by the Board of Directors to one or more not-for-profit soccer related organisations, or any not-for-profit athletic community organisations, which operate solely in Ontario. xi DEFINITIONS/TERMINOLOGY Terminology used in this Constitution shall have the same meaning as used by the OSA in its letters patent, By-Laws and published rules.
